1. Acceptance of Terms

By creating an account or using any part of our service, you confirm that you are at least 18 years old, have the authority to enter into this agreement on behalf of your company, and agree to comply with these Terms and all applicable Indian laws.

2. Our Services

Pinakin Software provides cloud-based ERP software for inventory management, purchase, sales, accounting, and GST compliance ("Services"). We reserve the right to modify, update, or discontinue any part of our Services at any time with reasonable notice.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials. You agree to:

• Keep your password secure and not share it with unauthorized persons
• Notify us immediately of any unauthorized access to your account
• Ensure all users in your organization comply with these Terms
• Provide accurate and complete information when registering

4. Your Data

You retain full ownership of all business data you enter into PinakinERP. We do not claim any ownership rights over your data. However, you grant us a limited license to host, process, and display your data solely to provide our Services.

You are responsible for ensuring that your use of our Services complies with applicable GST laws, accounting standards, and other regulatory requirements in India.

5. Payment & Subscription

Subscription fees are billed in advance on an annual or monthly basis. All prices are in Indian Rupees (INR) and are exclusive of applicable GST.

• Payments are non-refundable except as required by law
• Failure to pay may result in suspension of your account
• We will provide 30 days notice before any price changes
• Annual plans may be eligible for a prorated refund within 30 days of purchase

6. Prohibited Use

You agree not to use our Services to:

• Enter false, fraudulent, or misleading financial data
• Violate any applicable Indian law or regulation
• Attempt to reverse-engineer or copy our software
• Share your account credentials with unauthorized users
• Use our Services to facilitate tax evasion or financial fraud
• Upload malicious code or interfere with our systems

7. Limitation of Liability

PinakinERP is provided as a tool to help manage your business. You are solely responsible for the accuracy of data entered, compliance with GST and tax laws, and decisions made based on reports generated by the software.

Our maximum liability for any claim arising from use of our Services shall not exceed the subscription fees paid by you in the 3 months preceding the claim.

8. Termination

Either party may terminate the subscription with 30 days written notice. Upon termination, you may export your data for 30 days. After this period, data may be permanently deleted from our servers.

We may immediately suspend or terminate accounts that violate these Terms, are involved in fraudulent activity, or pose a security risk.

9. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.
